Terms of Service

Summary: These Terms govern your use of SimplySINT's OSINT due diligence services. By placing an order or creating an account, you agree to these Terms. Key points: reports are for lawful business purposes only; payment is required before work begins; reports are provided "as-is" with documented confidence levels; our total liability is capped at the amount paid for the specific report.

1. Agreement to Terms

1.1. By accessing, browsing, or using the SimplySINT platform ("the Service"), including placing orders, creating an account, or receiving reports, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Acceptable Use Policy, which are incorporated herein by reference.

1.2. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such case, "you" and "your" shall refer to that entity.

1.3. If you do not agree to these Terms, you must immediately cease all use of the Service and delete your account.

2. Description of Service

2.1. SimplySINT provides open-source intelligence (OSINT) due diligence investigation and reporting services. Our services include, but are not limited to:

  • Tier 1 — Screening: Rapid screening reports for red-flag identification and initial risk assessment, delivered within hours.
  • Tier 2 — Standard: Comprehensive due diligence reports with full narrative analysis, entity relationship mapping, and quantitative risk scoring, delivered same day.
  • Tier 3 — Strategic: In-depth strategic intelligence reports with forensic analysis, scenario modeling, and strategic recommendations, delivered within one day.
  • Custom Engagements: Bespoke investigation packages tailored to specific client requirements.
  • Registry Extracts: Official corporate registry document retrieval across 100+ jurisdictions.
  • Bulk Screening: Volume-based screening for portfolio or supply chain due diligence.

2.2. Reports are compiled using publicly available information, licensed commercial databases, government registries, court records, regulatory filings, media archives, and other legitimate intelligence sources. All intelligence gathering is conducted through legal and ethical means in compliance with applicable laws.

2.3. SimplySINT reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify active clients of material changes.

3. Account Registration and Security

3.1. To use the Service, you must create an account by providing a valid email address and creating a password. You are responsible for maintaining the confidentiality of your account credentials.

3.2. You agree to: (a) provide accurate and complete registration information; (b) maintain and promptly update your account information; (c) notify us immediately of any unauthorized use of your account; (d) accept responsibility for all activities that occur under your account.

3.3. SimplySINT does not require KYC (Know Your Customer) or KYB (Know Your Business) documentation for standard service tiers. However, we reserve the right to request identity verification for high-volume accounts, custom engagements, or where required by applicable law.

3.4. We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms or applicable law.

4. Orders and Delivery

4.1. Order Placement: Orders are placed through the client dashboard. Each order must specify the target entity, jurisdiction, and selected service tier. Additional context (websites, known affiliates, specific concerns) improves report quality.

4.2. Order Acceptance: Submission of an order constitutes an offer to purchase. SimplySINT reserves the right to decline any order at our sole discretion, including orders that appear to violate our Acceptable Use Policy.

4.3. Delivery Timelines: Delivery timelines commence upon confirmed payment receipt. Standard timelines are: Tier 1 (24 hours), Tier 2 (48 hours), Tier 3 (72 hours). These are target timelines, not guarantees. Complex investigations or jurisdictions with limited source availability may require additional time.

4.4. Report Delivery: Completed reports are delivered through the client dashboard and are accessible for a minimum of 365 days from delivery date. PDF exports are available for all reports.

4.5. Data Retention: Order records and associated metadata are retained for a minimum of 365 days. Report content is retained for the same period unless a longer retention period is required by applicable law or requested by the client.

5. Payment Terms

5.1. Pricing: All prices are quoted in United States Dollars (USD). Current pricing is displayed on the pricing page and in the order form. SimplySINT reserves the right to modify pricing at any time; price changes do not affect orders already placed and paid for.

5.2. Payment Methods: Payment is accepted via cryptocurrency (BTC, ETH, USDT, USDC, and other supported tokens) through our payment processor, Plisio. Fiat payment options may be available for enterprise clients upon request.

5.3. Balance System: Clients may maintain a prepaid balance ("Account Balance") by depositing funds via supported payment methods. Orders may be fulfilled automatically from the Account Balance when sufficient funds are available.

5.4. Refund Policy: Refunds are available under the following conditions:

  • Full refund if the order has not yet been assigned to an analyst.
  • Partial refund (at SimplySINT's discretion) if the delivered report materially fails to meet the specified service tier requirements.
  • No refund is available for completed and delivered reports that meet service tier specifications.
  • Account Balance refunds are processed within 14 business days to the original payment method where technically feasible.

5.5. Currency Conversion: Cryptocurrency payments are converted at the prevailing exchange rate at the time of payment confirmation. SimplySINT is not responsible for exchange rate fluctuations between order placement and payment confirmation.

6. Acceptable Use

6.1. You agree to use the Service only for lawful business purposes and in strict accordance with our Acceptable Use Policy.

6.2. Without limiting the foregoing, you may not use the Service to:

  • Stalk, harass, threaten, or intimidate any person.
  • Facilitate or further any illegal activity, including fraud, money laundering, or terrorism financing.
  • Conduct unauthorized surveillance or monitoring of individuals.
  • Discriminate against individuals based on protected characteristics.
  • Violate any applicable local, national, or international law or regulation.
  • Infringe upon the intellectual property, privacy, or other rights of third parties.
  • Attempt to reverse-engineer, decompile, or extract SimplySINT's methodologies, source lists, or analytical frameworks.

6.3. Violation of the Acceptable Use Policy may result in immediate account termination without refund.

7. Intellectual Property

7.1. Report License: Upon delivery and full payment, you receive a non-exclusive, non-transferable, perpetual license to use the report for your internal business purposes. This license does not transfer ownership of the report or any underlying intellectual property.

7.2. Restrictions: You may not: (a) resell, redistribute, sublicense, or publicly publish reports without prior written permission; (b) use reports to create competing intelligence products; (c) remove or alter any confidentiality notices, watermarks, or attribution included in reports.

7.3. SimplySINT IP: All intellectual property rights in the Service, including but not limited to the platform, analytical methodologies, investigation frameworks, source architecture, scoring models, and report templates, remain the exclusive property of SimplySINT.

7.4. Feedback: Any feedback, suggestions, or ideas you provide regarding the Service may be used by SimplySINT without obligation or compensation to you.

8. Confidentiality

8.1. SimplySINT treats all client orders, target information, and delivered reports as confidential. We do not disclose client identities, order details, or report contents to third parties except as required by law or with your explicit consent.

8.2. You agree to treat the contents of reports as confidential and to restrict access to authorized personnel within your organization who have a legitimate business need to review the information.

8.3. Confidentiality obligations survive termination of these Terms for a period of five (5) years.

9. Disclaimer of Warranties

9.1. THE SERVICE AND ALL REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.

9.2. OSINT investigations are inherently limited by source availability, jurisdictional constraints, and the accuracy of underlying data sources. SimplySINT does not guarantee the completeness, accuracy, or timeliness of all information contained in reports.

9.3. Reports include documented confidence levels, information gaps, and source attribution to enable informed interpretation. Reports should not be relied upon as the sole basis for business decisions without independent verification of critical findings.

9.4. SimplySINT does not provide legal, financial, or investment advice. Reports are informational in nature and should be reviewed in conjunction with qualified professional advisors.

10. Limitation of Liability

10.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMPLYSINT'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC REPORT OR SERVICE GIVING RISE TO THE CLAIM.

10.2. IN NO EVENT SHALL SIMPLYSINT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

10.3. The limitations in this section apply regardless of whether SimplySINT has been advised of the possibility of such damages and notwithstanding the failure of essential purpose of any limited remedy.

11. Indemnification

11.1. You agree to indemnify, defend, and hold harmless SimplySINT, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights.

12. Governing Law and Dispute Resolution

12.1. These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.

12.2. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days.

12.3. If negotiation fails, disputes shall be resolved through binding arbitration administered in accordance with internationally recognized arbitration rules. The language of arbitration shall be English.

12.4. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

13. Termination

13.1. You may terminate your account at any time by contacting us through the dashboard support form. Termination does not entitle you to a refund of any prepaid balance unless required by applicable law.

13.2. SimplySINT may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms or the Acceptable Use Policy.

13.3. Upon termination: (a) your right to access the Service ceases immediately; (b) completed reports remain accessible for download for 30 days following termination; (c) provisions that by their nature should survive termination (including Sections 7, 8, 9, 10, 11, and 12) shall survive.

14. Modifications to Terms

14.1. SimplySINT reserves the right to modify these Terms at any time. Material changes will be communicated via the email address associated with your account at least fourteen (14) days before they take effect.

14.2. Continued use of the Service after the effective date of modified Terms constitutes acceptance of the changes. If you do not agree to the modified Terms, you must cease using the Service and terminate your account.

15. General Provisions

15.1. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15.2. Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

15.3. Entire Agreement: These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and SimplySINT regarding the Service.

15.4. Assignment: You may not assign or transfer these Terms without SimplySINT's prior written consent. SimplySINT may assign these Terms without restriction.

15.5. Force Majeure: SimplySINT shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet disruptions, or third-party service failures.
